Terms of Service

Welcome to SupplyChainStack ("Service," "Platform"), operated by Steeled Inc., a Delaware Corporation ("Company," "we," "us," "our"). By accessing or using the Service at supplychainstack.ai, you ("User," "you," "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Steeled Inc. Please read them carefully before creating an account or using any feature of the Platform.

1. Acceptance of Terms

By creating an account, uploading data, subscribing to a plan, or otherwise accessing the Service, you confirm that:

• You are at least 18 years of age;
• You have the legal authority to enter into this agreement on behalf of yourself or the organization you represent;
• You have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our AI Disclaimer;
• If you are acting on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

SupplyChainStack is an AI-powered supply chain management platform designed for small and medium-sized businesses (SMBs). The Service provides:

• Demand Forecasting: AI-generated demand predictions based on historical sales data and statistical models;
• Inventory Optimization: Inventory health assessments, dead stock identification, safety stock calculations, and reorder recommendations;
• Supplier Management: Supplier evaluation, risk scoring, and relationship management tools;
• Cost Analysis: Landed cost calculations, cost breakdowns, and spend optimization;
• Risk Assessment: Supply chain risk alerts, disruption monitoring, and contingency recommendations;
• Marketplace: A directory connecting supply chain service providers (logistics, freight, warehousing, consulting) with SMB buyers seeking those services;
• Free Tools: Publicly accessible calculators including Landed Cost Calculator, Safety Stock Calculator, and Dead Stock Calculator.

3. Subscription Plans and Pricing

SupplyChainStack offers multiple subscription tiers, each with distinct features and usage limits:

Pricing is subject to change. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Per-Output Reports

Certain features may generate per-output reports (such as detailed supplier assessments or custom risk analyses) that are billed separately from your subscription. The pricing for per-output reports will be clearly displayed before you confirm generation. Per-output charges are non-refundable once the report has been generated and delivered.

5. User Accounts and Responsibilities

When you create an account, you agree to:

• Provide accurate and complete registration information;
• Maintain the security and confidentiality of your account credentials;
• Immediately notify us of any unauthorized access to or use of your account;
• Accept responsibility for all activities that occur under your account;
• Not share your account credentials with unauthorized individuals.

We reserve the right to suspend or terminate accounts that are shared improperly, used fraudulently, or in violation of these Terms.

6. Data You Upload

You retain all ownership rights to the data you upload to the Service ("Your Data"). By uploading data, you grant Steeled Inc. a limited, non-exclusive, non-transferable license to process, store, and analyze Your Data solely for the purpose of providing the Service to you.

We will not:

• Sell Your Data to third parties;
• Use Your Data to train AI models for purposes unrelated to your use of the Service;
• Share Your Data with other users or competitors;
• Access Your Data except as necessary to provide the Service, troubleshoot issues, or comply with legal obligations.

You represent and warrant that you have the legal right to upload all data you submit to the Service and that such data does not violate any applicable laws, regulations, or third-party rights.

7. Marketplace Terms

The SupplyChainStack Marketplace connects supply chain service providers ("Providers") with SMB buyers ("Buyers"). The following terms govern Marketplace participation:

7.1 Flat Fee Model

SupplyChainStack charges a flat listing fee for Marketplace participation. We do not take commissions on transactions between Providers and Buyers. All business arrangements, contracts, pricing, and payment terms between Providers and Buyers are solely between those parties.

7.2 Self-Reported Credentials

Provider credentials, certifications, insurance coverage, and qualifications displayed on the Marketplace are self-reported by Providers. Steeled Inc. does not independently verify Provider credentials unless explicitly stated. Buyers are responsible for conducting their own due diligence before engaging any Provider.

7.3 SMB Data Protection

Buyer contact information and business data shared through lead notifications are confidential and intended solely for the Provider who received the specific lead notification. Providers must not:

• Share, resell, or distribute Buyer contact data to third parties;
• Use Buyer data for purposes other than responding to the specific inquiry;
• Add Buyer contacts to marketing lists without explicit consent from the Buyer;
• Contact Buyers regarding unrelated services or products without prior agreement.

7.4 Match Scores and Recommendations

Marketplace match scores are generated algorithmically based on stated requirements, location, certifications, and other factors. Match scores are informational only and do not constitute endorsements of any Provider. See our AI Disclaimer for more details on algorithmic recommendations.

7.5 Prohibited Marketplace Behaviors

The following behaviors may result in immediate account suspension or permanent removal from the Marketplace:

• Providing false, misleading, or fraudulent information about credentials, capabilities, or pricing;
• Engaging in deceptive practices, bait-and-switch pricing, or undisclosed surcharges;
• Harassing, spamming, or engaging in abusive communication with other Marketplace participants;
• Circumventing the Marketplace to avoid applicable fees;
• Using automated tools to scrape Provider or Buyer data from the Marketplace;
• Misusing Buyer data in violation of Section 7.3 above;
• Violating any applicable laws, including anti-spam, privacy, and consumer protection regulations.

8. Acceptable Use

You agree to use the Service only for lawful business purposes. You may not:

• Reverse engineer, decompile, disassemble, or attempt to extract the underlying algorithms, models, or source code of the Service;
• Use the Service to process data in violation of applicable privacy laws (including GDPR, CCPA, and other data protection regulations);
• Attempt to gain unauthorized access to the Service, other user accounts, or our infrastructure;
• Use the Service to transmit malware, viruses, or other harmful code;
• Scrape, crawl, or use automated tools to extract data from the Service beyond your own account data;
• Resell, sublicense, or redistribute the Service or its outputs without prior written consent;
• Use the Service in any manner that could damage, disable, or impair its operation.

9. Intellectual Property

The Service — including all software, algorithms, user interfaces, designs, documentation, trademarks, logos, and content created by Steeled Inc. — is our intellectual property and is protected by copyright, trademark, trade secret, and other intellectual property laws.

These Terms do not grant you any rights to our intellectual property except the limited right to access and use the Service in accordance with these Terms. Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.

10. Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. You authorize us to charge your designated payment method for all applicable fees. If a payment fails, we may suspend your access to paid features until payment is resolved.

All prices are quoted in United States Dollars (USD) unless otherwise specified. You are responsible for any applicable taxes not included in the quoted price.

11. Refund Policy

We offer a 30-day refund policy for new subscribers. If you are unsatisfied with the Service within the first 30 days of your initial subscription, you may request a full refund by contacting us at supplychainstack@polsia.app.

After the 30-day period, subscription fees are non-refundable. You may cancel your subscription at any time, and you will continue to have access until the end of your current billing period. Per-output report charges are non-refundable once the report has been generated.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. STEELED INC. SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

• The Service will be uninterrupted, error-free, or secure;
• AI-generated forecasts, recommendations, or analyses will be accurate or complete;
• The Service will meet your specific requirements or expectations;
• Any defects in the Service will be corrected;
• Third-party integrations or data sources will be continuously available.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STEELED INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Steeled Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or access to the Service;
• Your violation of these Terms;
• Your violation of any applicable law or regulation;
• Your infringement of any third-party rights;
• Any data you upload to the Service.

15. Termination

You may terminate your account at any time by canceling your subscription and contacting us to request account deletion. We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms.

Upon termination:

• Your right to access the Service ceases immediately;
• We will retain Your Data for 30 days following termination, during which you may request a data export;
• After the 30-day retention period, Your Data will be permanently deleted;
• Any accrued payment obligations survive termination.

16. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved through binding arbitration administered by JAMS in accordance with the JAMS Streamlined Arbitration Rules and Procedures.

Key arbitration terms:

• Location: Arbitration shall take place in the State of Delaware or, if mutually agreed, conducted remotely;
• Individual Basis: All Disputes shall be resolved on an individual basis. You waive any right to participate in class action lawsuits or class-wide arbitration;
• Costs: Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise;
• Decision: The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Informal Resolution: Before initiating arbitration, you agree to first contact us at supplychainstack@polsia.app and attempt to resolve the Dispute informally for at least 30 days.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. To the extent litigation is permitted under these Terms (e.g., for injunctive relief), you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on this page with a revised "Last Updated" date;
• Sending an email notification to the address associated with your account;
• Displaying an in-app notification upon your next login.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree with the modified Terms, you must stop using the Service and cancel your account.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and AI Disclaimer, constitute the entire agreement between you and Steeled Inc. regarding the Service and supersede all prior agreements, representations, and understandings.
